The Danish Competition Council approves Norlys’s acquisition of Telia’s Danish activities

On 28 February 2024, the Danish Competition Council approved Norlys’s acquisition of Telia Company AB’s (“Telia”) Danish activities. 

This is one of the largest and most complex transactions in the Danish telecommunications market ever, and the approval paves the way for Norlys to acquire Telia’s Danish activities within mobile telephony, broadband and TV distribution and Telia’s share in Denmark’s largest mobile network, TT-Netværket.

The transaction takes place within a highly regulated sector in which Norlys and Telia have competed in a number of areas. The approval was granted more than two months before the Danish Competition Council’s ordinary deadline for processing the case and without so-called structural commitments, i.e. without a requirement to divest a part of Telia Denmark.

The agreement to sell Telia’s Danish activities was concluded in September 2023 and has awaited approval from the Danish Competition Council.
