Euronext launches EUR 1.8bn rights offering in connection with the acquisition of Borsa Italiana

Euronext N.V. has acquired 100% of the issued share capital of London Stock Exchange Group Holdings Italia S.p.A., the holding company of the Borsa Italiana Group, from London Stock Exchange Group plc for a cash consideration of EUR 4,325m.

The Euronext Group will be the leading listing venue with more than 1,890 companies listed on its markets with a combined market capitalisation of EUR 5.6tn, the leading venue for secondary markets in Europe with EUR 12.2bn worth of cash equities and exchange-traded funds traded on a daily basis in 2020 as well as the leading venue for equity financing with investors raising more than EUR 63bn in 2020 to finance companies across Europe.

Building on our existing relationship with Euronext N.V., whom we advised on the acquisition of VP Securities A/S in 2020, Accura advised Euronext N.V. on its EUR 1.8bn rights offering in connection with the acquisition of London Stock Exchange Group Holdings Italia S.p.A. by conducting the due diligence review of documents governed by Danish law, with particular focus on VP Securities A/S (as required under Rule 10b-5 of the United States Securities Exchange Act of 1934, as amended).
