Accura advised the promoters of Netcompany, André Rogaczewski and Claus Jørgensen, and the remaining management as well as a number of key employees in connection with the initial public offering (IPO) of Netcompany Group.
The prospectus was published on 23 May 2018, and the company is expected to be admitted to trading and official listing on Nasdaq Copenhagen on 7 June 2018.
Accura provided assistance throughout the entire process, including in connection with IPO re-organisation, negotiation of underwriting agreement, commenting on the prospectus and various tax matters in relation to the promoters, the management and certain key employees.
Netcompany Group was formed in 1999. In 2017, the revenue was DKK 1.4bn against DKK 900m in 2016. In 2018, Netcompany Group A/S expects to raise its revenue to approx. DKK 2bn.
Prior to the IPO, the private equity fund FSN holds 44.1% of the shares, Danica Pension holds 4.6%, while the promoters and senior executives and key employees in Denmark and abroad together hold 51.3% of the shares. Each shareholder sells 40% of its current shareholding in connection with the IPO, excluding any greenshoe, at an indicative sales price between DKK 135 and 165 per share. On the basis of this price, Netcompany Group has been measured at between DKK 6.75bn and 8.25bn.
