The Danish Business Authority has now approved Hamamatsu Photonics K.K.’s (“Hamamatsu”) acquisition of NKT Photonics A/S according to the Danish Investment Screening Act. NKT Photonics manufactures and sells lasers and laser equipment components.
In June 2022, Hamamatsu announced that its Belgian subsidiary, Photonics Management Europe S.R.L, had entered into an agreement to acquire NKT Photonics. The closing of the transaction was subject to regulatory approvals. Approvals were obtained from FDI authorities in Germany, the United Kingdom and the United States. However, in May 2023, the transaction did not obtain approval from the Danish Business Authority, citing concerns of national security. Accura has assisted Hamamatsu in submitting a revised application in July 2023 which has now been approved by the Danish Minister for Industry, Business and Financial Affairs.
Hamamatsu’s acquisition of NKT Photonics is now expected to be completed within Q2 2024.
